Platform Notice

Keylist.ai provides transaction coordination, communication support, and AI-powered guidance for home sellers.

Keylist.ai is not a licensed real estate brokerage, escrow company, or law firm, and does not provide real estate, legal, tax, or financial advice.

All real estate transactions, negotiations, contracts, escrow services, and fund handling are conducted by licensed real estate agents, brokers, escrow officers, and/or other qualified professionals.

Users are responsible for reviewing all documents and consulting with licensed professionals before making any decisions related to their property or transaction.

1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and KeyList AI, Inc. (“KeyList,” “we,” “us,” or “our”) governing your access to and use of the KeyList platform, including our website, mobile applications, and all related services (collectively, the “Platform”).

By creating an account, submitting a property, or otherwise using the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding contract, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity.

By using Keylist.ai, you acknowledge and agree that:

  1. Keylist.ai is a technology platform that provides coordination and informational tools only.
  2. Keylist.ai is not a real estate broker, agent, escrow holder, or legal advisor.
  3. Keylist.ai does not negotiate or execute real estate transactions on your behalf.
  4. Keylist.ai does not hold, transfer, or manage any transaction funds.
  5. You are solely responsible for decisions related to your property and transaction.
  6. You agree to consult licensed professionals for all legal, financial, and contractual matters.
  7. Keylist.ai is not liable for any transaction outcomes, delays, or decisions made by users or third parties.

If you do not agree to these Terms, you must not access or use the Platform.

2. Scope of Services

KeyList provides an AI-powered for-sale-by-owner (FSBO) real estate platform. The services made available through the Platform are limited to the following coordination and informational tools:

  • AI-driven property valuation reports and comparable market analysis (CMA) for informational purposes only
  • Automated listing copywriting and multi-platform content generation
  • Offer management and communication support tools
  • Escrow milestone tracking, timeline guidance, and closing workflow tools
  • Access to a curated network of licensed real estate service providers, vendors, and agents
  • Document organization tools and a centralized communication hub for your transaction

The Platform does not include, and KeyList expressly does not provide:

  • Licensed real estate brokerage or agent representation services
  • Legal advice, contract drafting, review, or execution
  • Financial or tax advisory services
  • Escrow, title, or closing services
  • Physical property inspections or in-person appraisals
  • Holding, receiving, or disbursing transaction funds on your behalf
  • Negotiation of transaction terms directly with buyers or their representatives

The specific features available to you depend on the subscription plan you have purchased. KeyList reserves the right to modify, expand, or discontinue any feature at any time with reasonable notice. Changes to core service scope will be communicated no fewer than 14 days in advance.

Scope Reminder
Using the Platform does not replace the need for licensed professionals. KeyList provides tools and coordination support — all binding decisions, contract signings, and fund transfers must involve appropriately licensed parties.

3. No Agency Relationship

Your use of the Platform does not create, and shall not be construed to create, any agency, partnership, joint venture, fiduciary, employment, brokerage, attorney-client, or any other professional relationship between you and KeyList AI, Inc.

Specifically:

  • KeyList is not your real estate agent or broker and owes you no fiduciary duties under any real estate licensing law.
  • KeyList is not your attorney and no attorney-client privilege attaches to any communication through the Platform.
  • KeyList is not your financial advisor and any information provided does not constitute investment or financial guidance.
  • Vendors, agents, and service providers accessible through the Platform are independent third parties. KeyList does not supervise, employ, direct, or control them, and they are not agents or representatives of KeyList.
  • Any licensed real estate agent you engage through the Platform enters into a separate professional relationship with you governed by their own licensing obligations and any separate agreement between you and that agent.

You acknowledge that you are acting as a principal in your own real estate transaction. KeyList's role is limited to providing technology tools and coordination support. Any reliance on Platform-generated content as professional advice is at your sole risk.

Important
No communication on the Platform — including messages from our AI agents, support team, or vendor network — constitutes professional real estate, legal, or financial advice, and no professional relationship is established by such communication.

4. Account Registration

To access core features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@keylist.ai if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain false information, violate these Terms, or pose a risk to the Platform or other users.

Separate account types exist for property sellers and licensed real estate agents. Agents must provide a valid, active license number and agree to supplemental agent-specific terms during onboarding. Misrepresentation of licensure status is grounds for immediate account termination and may be referred to applicable state licensing boards.

5. Subscriptions and Payment

KeyList offers tiered subscription plans for both sellers and agents, as described on our Pricing page. Prices are listed in U.S. dollars and are subject to change with reasonable notice.

For seller plans, fees are charged at the time of purchase and are non-refundable except as required by applicable law or as expressly stated in our refund policy. For agent plans offered on a per-transaction basis, fees become due upon the confirmed closing of a transaction facilitated through the Platform.

All payments are processed by third-party payment processors. By providing payment information, you authorize us to charge the applicable fees. You are responsible for any taxes, duties, or similar charges imposed by governmental authorities in connection with your use of the Platform.

We reserve the right to suspend access to paid features if payment is not received when due.

6. AI Limitations

The Platform uses large language model (LLM) artificial intelligence systems to generate property valuations, listing descriptions, offer analyses, risk assessments, escrow timelines, and other content (“AI Content”). By using the Platform, you expressly acknowledge and accept the following limitations:

  • AI Content is generated algorithmically and may contain errors, hallucinations, omissions, or significant inaccuracies.
  • AI-generated valuations are not licensed appraisals and do not constitute a Broker Price Opinion (BPO), Comparative Market Analysis (CMA) from a licensed agent, or any other formally recognized valuation instrument.
  • AI Content does not constitute a professional appraisal, legal opinion, financial advice, or any form of licensed professional guidance.
  • AI models have knowledge cutoffs and may not reflect current market conditions, local regulations, recent comparable sales, or macroeconomic factors.
  • Outputs may vary between sessions. The same inputs may produce different outputs at different times due to model updates or probabilistic generation.
  • AI-generated listing prices may differ materially from the actual market value or final sale price of your property.
  • You are solely responsible for reviewing, verifying, and approving any AI Content before it is published, submitted, or acted upon.
  • KeyList makes no warranty that AI Content will be accurate, complete, current, or fit for any particular purpose.
  • Published listing prices, marketing copy, and transaction documents derived from AI Content are your sole responsibility as the account holder.
Best Practice
Always have AI-generated valuations and contract-related content reviewed by a licensed real estate professional, attorney, or certified appraiser before taking any action or making any financial decision based on them.

We continuously improve our AI systems, and outputs may change over time. Historical AI analyses are provided for informational purposes only and should not be relied upon as current assessments.

7. Third-Party Services Disclaimer

The Platform integrates with or provides access to a range of third-party services, including but not limited to: real estate listing aggregators, MLS syndication networks, payment processors, electronic document signing platforms, title and escrow companies, home inspection services, photography vendors, and other real estate service providers (collectively, “Third-Party Services”).

With respect to all Third-Party Services, you acknowledge and agree that:

  • Third-Party Services are governed by their own terms of service, privacy policies, and licensing obligations, which you are responsible for reviewing and accepting independently.
  • KeyList does not endorse, warrant, guarantee, or assume any responsibility for the quality, accuracy, reliability, legality, or availability of any Third-Party Service.
  • Vendors, agents, photographers, inspectors, and other professionals accessible through the Platform are independent contractors — not employees, subcontractors, or agents of KeyList.
  • KeyList is not responsible for the acts, omissions, errors, representations, warranties, breaches, negligence, or misconduct of any third-party provider, regardless of how that provider was introduced to you.
  • Any dispute arising from your use of a Third-Party Service must be resolved directly between you and the relevant third party. KeyList has no obligation to mediate, arbitrate, or otherwise become involved in such disputes.
  • Third-party integrations may be interrupted, deprecated, or modified without notice. KeyList is not liable for service degradation caused by changes to third-party systems.
  • Fees charged by third-party providers are separate from KeyList subscription fees and are your sole responsibility.

If you access third-party websites or platforms through links on the KeyList Platform, you do so at your own risk. KeyList has no control over and assumes no responsibility for the content, accuracy, or practices of any linked third-party website.

8. Intellectual Property

The Platform, including its design, software, text, graphics, logos, and AI models, is owned by KeyList AI, Inc. and is protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes in accordance with these Terms.

You retain ownership of content you submit to the Platform, including property descriptions, photographs, and listing information (“User Content”). By submitting User Content, you grant KeyList a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and display such User Content for the purpose of operating and improving the Platform.

You represent and warrant that you have all necessary rights to submit any User Content and that such content does not infringe any third-party intellectual property rights.

9. Prohibited Conduct

You agree not to use the Platform to:

  • Post false, misleading, or fraudulent property information
  • Violate any applicable fair housing, anti-discrimination, or consumer protection laws
  • Scrape, harvest, or systematically extract data from the Platform without our written consent
  • Reverse-engineer, decompile, or attempt to access the source code of our AI models or software
  • Transmit malware, spam, or any content that is unlawful, defamatory, or harmful
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Circumvent any security, access control, or rate-limiting features of the Platform
  • Use the Platform for any purpose that competes with KeyList without our prior written consent

Violation of these prohibitions may result in immediate account termination and may expose you to civil or criminal liability.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYLIST DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY INFORMATION OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE OR RELIABLE.

REAL ESTATE TRANSACTIONS INVOLVE SIGNIFICANT FINANCIAL AND LEGAL RISK. KEYLIST EXPRESSLY DISCLAIMS ANY LIABILITY FOR THE OUTCOME OF ANY REAL ESTATE TRANSACTION FACILITATED IN WHOLE OR IN PART THROUGH THE PLATFORM.

Transaction Disclaimer
Keylist.ai facilitates communication and provides guidance throughout your home sale. Keylist.ai does not participate in negotiations, contract execution, escrow services, or the handling of funds. All transactions are carried out by licensed professionals and third-party service providers.

11. Indemnification

You agree to defend, indemnify, and hold harmless KeyList AI, Inc. and its officers, directors, employees, contractors, agents, licensors, and successors (collectively, “KeyList Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, fines, penalties, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your access to or use of the Platform, including any AI-generated content you publish, share, or act upon.
  • Any User Content you submit, post, or transmit through the Platform.
  • Your violation of any provision of these Terms or any applicable law or regulation.
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights.
  • Any misrepresentation you make in connection with your account, your property, or your transaction.
  • Any claim by a buyer, co-seller, vendor, agent, title company, escrow officer, or other party arising from your real estate transaction.
  • Any regulatory investigation, fine, or enforcement action related to your use of the Platform or your real estate activity.
  • Your failure to retain or follow the guidance of appropriately licensed professionals.

KeyList reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with KeyList in asserting any available defenses. This indemnification obligation survives the termination or expiration of these Terms and your use of the Platform.

12. Governing Law and Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Mandatory Arbitration. Except for claims that qualify for small claims court, you and KeyList agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (including disputes about their formation, validity, or termination) shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, which are incorporated herein by reference.

  • The arbitration will be conducted in Wilmington, Delaware, or via video conference at the arbitrator's discretion.
  • The arbitrator shall have exclusive authority to resolve all disputes, including threshold questions of arbitrability.
  • The arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  • Each party shall bear its own attorneys' fees and costs, except as otherwise provided by the AAA Consumer Rules or applicable law.
  • The filing fee for consumer arbitration claims will be governed by the AAA Consumer Fee Schedule.

Class Action Waiver. YOU AND KEYLIST EACH WAIVE ANY RIGHT TO PURSUE ANY CLAIM AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. This waiver is an essential and material term of this agreement. If this waiver is found unenforceable, the entire arbitration provision shall be null and void.

Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to legal@keylist.ai within 30 days of your first use of the Platform. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts.

For injunctive relief to protect KeyList's intellectual property or prevent imminent harm, KeyList may seek emergency relief in any court of competent jurisdiction without waiving its right to arbitration.

13. Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYLIST AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, REAL ESTATE TRANSACTION VALUE, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF KEYLIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Aggregate Liability
$500
or the total fees you paid to KeyList in the 12 months preceding the claim,
whichever is greater.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO KEYLIST IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIVE HUNDRED U.S. DOLLARS ($500). THIS CAP APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, AND STATUTORY CLAIMS.

This limitation of liability reflects a reasonable allocation of risk between the parties and is an essential basis of the agreement between you and KeyList. You acknowledge that KeyList would not have entered into these Terms without this limitation.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY APPLICABLE LAW.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

We recommend reviewing these Terms periodically. The “Last updated” date at the top of this page indicates when the Terms were most recently revised.
